The 300 CE-24 Cabriolet, another body variant of the W124 series, was presented at the IAA in September 1991. The Cabriolet was developed based on the coupe, and to ensure torsional stiffness, around 1,000 parts were revised or newly designed. In some cases, load-bearing sheets had to be made from higher-quality materials.

The Cabriolet was initially offered in Germany (and other continental European countries) from the end of 1991 exclusively with the 3.0-liter four-valve engine as the 300 CE-24, which was already being phased out in other models. In North America, Japan, and the British Isles, however, the Cabriolet was launched in October 1992 with the new 3.2-liter engine as the 320 CE (in Japan, as well as a right-hand drive in the UK and Ireland), or as the 300 CE (in the USA and Canada). All three variants were produced only until the facelift in 1993, which is recognizable by the chrome grille.

With the facelift, the six-cylinder models mentioned above were replaced globally by the E 320, while the Cabriolet was now (except in North America and Japan) also available with four-cylinder engines for the first time, namely as the E 200 in southern Europe (offered in Germany from 1994) and the E 220 in other countries.

The E-Class Cabriolet was also delivered from October 1996 to July 1997 as a special model, the Final Edition (code 907), which was distinguished by black-brown root wood in the standard version. As an option (as previously available in the E 500), ash gray bird's-eye maple wood inlays (instead of the red-brown root wood used in all other E-Class Cabriolets) could be selected. The Cabriolets were only available with black leather upholstery (instead of the other leather colors beige or champignon, brown or Brazil, gray, or blue, which were still available until the end). The package also included a manual climate control system, lowering, and AMG alloy wheels. The special model was less customizable, but more affordable (with a base price of 79,925.00 DM for the E 200, 88,435.00 DM for the E 220, and 114,770.00 DM for the E 320) than the otherwise available cars with custom colors and similar extras. A total of 1,390 Cabriolets were produced as the Final Edition: 570 E 200, 654 E 220, and 166 E 320.

The E 36 AMG, offered outside of North America and produced in 68 units (14 of them as right-hand drives for the UK), was the AMG model based on the E 320, but with AMG engine tuning, after the predecessor model could already be ordered through the Daimler-Benz sales network as the 300 CE-24 3.4 AMG. Production of the E-Class Cabriolet ended on July 4, 1997. Exports to overseas markets had already been discontinued in 1995.
